This is a template for guidance and not legal advice — have it reviewed by counsel before relying on it.
1. About these terms
These Terms of Service (“Terms”) form a legally binding agreement between you and JB GROCERS LLP (LLPIN ACN-1099; GSTIN 27AAVFJ5003D1ZF), a limited liability partnership with its registered office at Gultekdi, Pune, Maharashtra, India (“JB Grocers”, “we”, “us”, “our”). They govern your access to and use of our website at https://jbgrocers.com (the “Site”) and any wholesale ordering services made available through it (together, the “Services”).
By accessing the Site, creating an account, or placing an order you confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, Refund Policy and Shipping Policy, each of which is incorporated by reference. If you do not agree, do not use the Services.
2. Definitions
- “Buyer” / “you” means the business entity, and the individual accepting these Terms on its behalf, that uses the Services.
- “Account” means the verified business account required to transact with us.
- “Goods” means the grocery and allied products we offer for wholesale supply.
- “Order” means a request submitted by you to purchase Goods; “Sales Order” means our confirmed acceptance of an Order recorded in our ERPNext system.
3. Eligibility — business buyers only
The Services are offered on a strictly business-to-business (B2B), wholesale basis to hotels, restaurants, caterers and other trade buyers (“HORECA”). They are not directed at consumers or to minors. By using the Services you represent that you are at least 18 years old, are acting for a bona fide business, and are authorised to bind that business.
We operate an approve-first onboarding model. Account registration is a request only; you may browse but may not transact until we have verified your details (including, where applicable, your GSTIN) and approved your Account. We may decline or revoke approval at our discretion.
4. Accounts and security
You are responsible for keeping your login credentials confidential and for all activity under your Account. You must provide accurate, current and complete information and keep it updated. Notify us promptly at sachingoel24@gmail.com of any unauthorised use. We may suspend an Account where we reasonably suspect a security or compliance breach.
5. Orders, offer and acceptance
Product listings, prices and availability are an invitation to treat, not an offer. When you submit an Order you make an offer to purchase. No contract is formed until we confirm the Order as a Sales Order in our ERPNext system; an order acknowledgement or payment receipt does not by itself constitute acceptance. We may reject or limit any Order, including for stock, credit, pricing-error or compliance reasons.
A minimum order value or quantity may apply. The Services are wholesale-only and quantities may be capped to trade-appropriate volumes.
6. Pricing, taxes and invoicing
- Prices are quoted in Indian Rupees (₹) and are subject to change until an Order is confirmed as a Sales Order.
- Goods and Services Tax (GST) is applied as required by law. The applicable tax treatment and any APMC cess/levies are shown on the tax invoice.
- A GST-compliant tax invoice (bearing our GSTIN 27AAVFJ5003D1ZF, HSN codes and the CGST/SGST/IGST split) is issued for each order from our ERPNext system, which is our system of record for invoices and ledgers.
- We may correct manifest pricing or description errors even after an Order is placed; where a corrected price is materially higher we will seek your confirmation or cancel the affected line.
7. Payment terms
Payment may be made online through our payment gateway (Razorpay) or, where we have expressly granted credit, on agreed on-account terms. We do not store full card details; online payments are processed and tokenised by the gateway. Overdue amounts may attract suspension of supply and interest at the rate stated on your invoice or as permitted by law.
8. Delivery, title and risk
Delivery is governed by our Shipping Policy. Risk in the Goods passes to you on delivery to, or collection by, you or your nominee. Title passes only once we have received payment in full for the relevant Goods. You must inspect Goods on receipt and record shortages, damage or wrong/expired stock at the point of acceptance, as set out in our Refund Policy.
9. Acceptable use
Your use of the Services is subject to our Acceptable Use Policy. You must not misuse the Site, attempt to bypass access controls, scrape or overload the Services, or use any AI-assisted features for unlawful purposes.
10. Intellectual property
The Site and its content — including text, graphics, logos, the “JB Grocers” brand, software and the arrangement of the catalogue — are owned by or licensed to us and protected by law. We grant you a limited, revocable, non-exclusive licence to use the Site for the purpose of transacting with us. You may not copy, reproduce or exploit any part of the Site except as expressly permitted.
11. Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, goodwill or data. Our aggregate liability arising out of or in connection with any Order is limited to the amount paid by you for the Goods giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under Indian law, including for death or personal injury caused by negligence or for fraud.
12. Indemnity
You agree to indemnify and hold us harmless against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
13. Suspension and termination
We may suspend or terminate your access to the Services, with or without notice, where you breach these Terms, present a credit or compliance risk, or where required by law. Provisions that by their nature should survive termination (including payment, IP, liability and governing law) will continue to apply.
14. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, strikes, transport disruption, supply-chain failure, utility or network outages, epidemic, or governmental action.
15. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any applicable consumer-protection rights, the courts at Pune, Maharashtra have exclusive jurisdiction over any dispute. Any agreed dispute-resolution or arbitration mechanism will be notified in writing.
16. Changes and notices
We may amend these Terms from time to time. The updated version takes effect when posted with a revised “Last updated” date; material changes will be notified through the Site or by email. Your continued use after changes take effect constitutes acceptance.
